• Provide timely access to accounts, assets, and approvals.

• Pay invoices as agreed in proposals.

4. Intellectual property

Pre-existing IP of each party remains theirs. Upon full payment, final deliverables are licensed or assigned as stated in the proposal.

5. Confidentiality

Both parties agree to keep confidential information private, except as required by law.

6. Disclaimers

We do not guarantee specific results. Performance depends on multiple external factors.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability is limited to fees paid in the three months preceding the claim.

8. Termination

Either party may terminate with written notice per the proposal terms. Accrued fees remain payable.

9. Governing law

These Terms are governed by the laws of our place of business, without regard to conflict of laws.
